Given the different legal structures offered by the Panamanian legal
\nframework, corporations have an advantage over the rest. This is due to three
\nmain factors: (i) shareholders’ discretion, (ii) tax incentives, and (iii)
\nquick incorporation.<\/p>\n

Panamanian corporations are not necessarily used exclusively by large
\norganizations; being such versatile and flexible entities, they also benefit
\nnew ventures in Panama and abroad.<\/p>\n

We detail the previous points to consider now when incorporating a company as
\nfollows:<\/p>\n

    \n
  1. Choosing a name for the company: <\/strong>The first step is to
    \nchoose a unique name that has not been previously registered in the country.
    \nThe law requires that the name of the company include the words “sociedad
    \nan\u00f3nima” or its abbreviation “S.A.”<\/li>\n<\/ol>\n

    Verifying the availability of the name through the Public Registry of Panama
    \nis essential to ensure that the proposed name is not already in use.<\/p>\n

      \n
    1. Define authorized capital: <\/strong>The amount of capital stock that
      \nmay be represented by bearer shares or registered shares must be defined.
      \nDifferent classes of shares may also be defined. However, the obligations
      \nand rights of each class must be specified.<\/li>\n<\/ol>\n

      Flexibility in the share capital structure allows entrepreneurs to tailor
      \nthe company to their specific needs and financial strategies.<\/p>\n

        \n
      1. Choose who will be the directors and officers. <\/strong>Panamanian
        \nlaw requires the appointment of at least three directors responsible for
        \nmanaging the corporation, who must be different persons. The directors may
        \nbe of any nationality and need not reside in Panama. In addition, they may
        \nbe legal persons.Likewise, officers known as president, secretary and treasurer of the
        \ncorporation must be appointed, who perform essential functions within the
        \ncorporation to be incorporated.<\/li>\n<\/ol>\n
          \n
        1. Define the company’s purpose and domicile.<\/strong> The law requires
          \nthat the corporation’s objects be defined, which can be as broad as they are
          \nspecific. Likewise, the corporation’s domicile must be specified.<\/li>\n<\/ol>\n

          1. Appoint a resident agent. <\/strong>In Panama, appointing a resident
            \nagent who may be a natural or juridical person is mandatory. The resident
            \nagent’s primary function is to act as an intermediary between the
            \ncorporation and the local authorities. The resident agent is responsible for
            \nreceiving legal notices and ensuring compliance with current regulations.<\/li>\n<\/ol>\n
